TMNuts and Tailormade Nuts Terms of Service
Version 1.1. Effective . Last updated .
In short
- The platform is for authorised users of companies that have an agreement with us. Your company's agreement with us comes first.
- Keep your account to yourself, use only what you are allowed to see, and do not misuse the platform.
- Your company owns its data. We process it for your company.
- Nutty, the AI assistant, gives guidance that you must check. It is not advice.
- Sections 12 and 13 limit our responsibility. Please read them.
1. About these terms
These terms apply when you use Tailormade Nuts, a web platform for macadamia processors, or TMNuts, its mobile app for iOS and Android. In these terms we call them together "the platform". Tailormade Tech (Pty) Ltd, registration number 2022/867626/07 ("Tailormade Tech", "we", "us", "our"), builds and runs the platform.
A "customer" is a processing company that uses the platform under an agreement with us. "Your company" means the customer you work for or, if you are a grower, the processor whose grower portal you use.
By signing in to or using the platform, you agree to these terms. If you use the platform for a business, such as your employer or your farming business, you confirm that you are authorised to act for it.
Our Privacy Policy explains how personal information is handled on the platform.
2. Who may use the platform
- You may use the platform only as an authorised user of a customer: a person the customer has given access, such as a member of its staff or a grower it has connected to its grower portal.
- You must be 18 or older.
- Your access is personal to you. Do not share your account or let anyone else use it.
You cannot use the platform without your company's permission. Staff can ask for access, which their company's administrator approves. Growers connect to a processor's grower portal with a code the processor gives them, or by asking the processor to connect them. Your access ends if your company removes it or if your company's agreement with us ends.
3. Your company's agreement comes first
Each customer has its own written agreement with us. If these terms conflict with that agreement, the agreement prevails. These terms do not change what we owe a customer or what a customer owes us.
Your company may set its own rules for using the platform. It may also ask you to accept a document in the platform before you use it, such as its terms of use or a description of how the system works. Those rules and documents apply as well as these terms.
4. Your account
- Keep your password secret and do not use it for any other service.
- Actions taken with your account are recorded against your name in the platform's audit log.
- If you think someone else has used your account, tell your company's administrator and us straight away.
- Sign out on shared devices.
- Keep your details on the platform accurate.
5. Acceptable use
When you use the platform, do not:
- try to see or change information you are not authorised to access, or try to get around permissions or the separation between customers;
- probe, scan or test the platform's security without our written permission (please report security issues to us instead);
- interfere with the platform's operation or overload it, or access it by automated means other than the features we provide;
- upload malicious code or files you have no right to share;
- enter information you know is false, or use the platform to break the law, including the Protection of Personal Information Act 4 of 2013 ("POPIA");
- use personal information from the platform for anything other than your company's business on the platform; or
- copy, modify, reverse engineer or resell the platform, except where the law allows it.
We may suspend access that breaks these rules (see section 11).
6. Your company's data
- Your company owns its data. As between your company and us, the customer owns the information it and its users put on the platform ("customer data"). This does not affect anyone's rights under POPIA.
- We process it as your company's operator. We process customer data only to provide the platform, on the customer's instructions and under its agreement with us, as POPIA requires. The Privacy Policy explains this in more detail.
- We do not sell it or use it for advertising.
- Usage records. We keep records of how the platform is used, such as the days each user was active and the data exports made, to run, support and improve the platform. We do not share them outside Tailormade Tech.
- Your company's responsibilities. The customer is responsible for what it records on the platform, for having a lawful reason under POPIA to record it, and for telling people such as its growers about it where POPIA requires.
- When an agreement ends, we delete the customer's data or return it to the customer, as the customer instructs under its agreement with us.
7. Nutty, the AI assistant
- Nutty is available only if your company turns it on.
- Nutty uses AI models from Anthropic to answer questions using the information your account is allowed to see.
- Nutty's answers are guidance, not advice. They are generated automatically and can be wrong, incomplete or out of date. They are not financial, legal, tax, agricultural or other professional advice.
- Check before you rely on an answer. Check every answer against the records on the platform before you rely on it, and always before you use it for payments, prices, quality decisions or anything you send to someone else.
- Do not put information into a question that Nutty does not need, such as passwords or another person's bank details.
- Your conversations are stored as the Privacy Policy describes.
8. Availability and working without signal
- We work to keep the platform available, secure and accurate, but we do not promise that it will always be available or free of errors. Maintenance, updates, problems with our service providers and internet or mobile network problems can make it unavailable. If your company's agreement with us sets service levels, those apply.
- Working without signal. The TMNuts app and the web platform can keep captures on your device when there is no connection and send them when the connection returns. Until a capture is sent, it is not on the platform: other people cannot see it and it is not in reports. If the device is lost or reset, or the app or the browser's data is removed, before a capture is sent, the capture is lost.
- Captures can be refused. When a capture arrives, the platform checks it against the current records and may refuse it, for example if the records changed in the meantime. The platform shows refused captures and the reason, so you can discard them and capture again if needed.
- Information shown without signal may be out of date. Without a connection, the app shows information it loaded earlier. Check it again when you are back online.
- Keep the app up to date. Older versions may stop working.
9. The TMNuts app
We give you a personal, non-exclusive, non-transferable licence, which we may withdraw, to install and use the TMNuts app on devices you own or control, only to use the platform as an authorised user. You must follow any third-party terms that apply when you use the app, such as your mobile data agreement.
If you got the app from the Apple App Store or Google Play, that store's terms also apply. For the app from the Apple App Store:
- these terms are between you and Tailormade Tech, not Apple, and Tailormade Tech, not Apple, is responsible for the app and its content;
- you may use the app only on Apple-branded products that you own or control, as the Usage Rules in the App Store Terms of Service allow;
- Tailormade Tech alone is responsible for maintenance and support of the app, as these terms say or the law requires, and Apple has no obligation to provide any;
- if the app fails to meet any warranty that applies, you may tell Apple and Apple will refund any price you paid for it. To the extent the law allows, Apple has no other warranty obligation for the app, and Tailormade Tech is responsible for any other claims, losses or costs from such a failure;
- Apple is not responsible for dealing with any claim by you or anyone else relating to the app or your use of it, including product liability claims, claims that the app does not meet legal or regulatory requirements, and claims under consumer protection, privacy or similar law;
- if anyone claims that the app or your use of it infringes their intellectual property, Tailormade Tech, not Apple, is responsible for investigating, defending, settling and discharging that claim;
- you confirm that you are not located in a country that is subject to a United States Government embargo or that the United States Government has designated as a "terrorist supporting" country, and that you are not on any United States Government list of prohibited or restricted parties;
- questions, complaints and claims about the app go to Tailormade Tech at the contact details in section 17; and
- Apple and its subsidiaries are third-party beneficiaries of these terms and, once you accept them, Apple may enforce them against you.
10. Intellectual property
The platform, the app, their software, design and documentation belong to Tailormade Tech or its licensors. Apart from the licence in section 9 and any rights in your company's agreement with us, these terms give you no rights in them. If you send us suggestions or feedback, we may use them without any obligation to you. Customer data remains the customer's.
11. Suspending and ending access
- Your company can remove your access at any time.
- We may suspend or restrict your access if we reasonably believe that you are breaking these terms, that your account has been compromised, or that it is necessary to protect the platform, our customers or their data. Where we can, we tell your company first. We restore access once the problem is resolved.
- Your access ends when your company's agreement with us ends.
- Sections 6, 10, 12, 13 and 15 continue to apply after your access ends.
12. The platform's results
The platform calculates results, such as prices, remittances, invoices and statements, from the prices, deductions, quality rules and payment rules your company has set up or agreed with us in writing, from exchange rates it fetches from public sources, and from the information entered. Check results before you rely on them, pay them or send them to anyone.
To the extent the law allows, and except as these terms or your company's agreement with us say otherwise, the platform is provided as it is and we give no other warranties about it.
13. Limitation of liability
- Nothing in these terms limits our liability for fraud, gross negligence or wilful misconduct, any liability that cannot be limited by law, or any right you have under the Consumer Protection Act 68 of 2008 where it applies.
- Our liability to a customer is governed by that customer's agreement with us.
- To the extent the law allows, we are not liable to you, as an individual user, for any indirect, special or consequential loss, or for loss of profit, income, data or goodwill, arising from your use of the platform or from relying on Nutty's answers or the platform's results without checking them.
14. Changes to these terms
We may change these terms when the platform or the law changes. Each version shows its version number and effective date at the top. The current version is always available at www.tailormadetech.co.za/terms-of-service/tmnuts and on every customer's web address at /terms-of-service. If a change is material, we will tell our customers before it takes effect. If you keep using the platform after a change takes effect, the new terms apply to you. If you do not agree with them, stop using the platform and tell your company.
15. Law and disputes
These terms are governed by the law of the Republic of South Africa, and the courts of South Africa have jurisdiction. If you have a complaint, please contact us first so that we can try to resolve it.
16. General
- If any part of these terms is found to be invalid, the rest still applies.
- If we do not enforce a right straight away, we have not given it up.
- You may not transfer your rights under these terms. We may transfer ours to anyone who takes over our business, subject to our agreements with customers.
- We may send you notices by email or in the platform.
- You can save or print these terms from your browser at any time.
